Partner Program Terms & Conditions

1. Introduction

These Partner Program Terms and Conditions ("Agreement") govern your participation in the CloudKlass Partner Program ("Program"). By enrolling in the Program, you agree to be bound by these terms.

2. Eligibility

To participate in the Program, you must:

• Be at least 18 years of age
• Have an active paid CloudKlass subscription (trial users are not eligible)
• Have been a subscriber for at least 7 days
• Provide accurate and complete information during enrollment
• Comply with all applicable Nigerian laws and regulations

3. Commission Rates (By Subscription Plan)

Partners earn commissions based on the subscription plan purchased by the referred user:

• Monthly subscriptions: 15% commission
• Quarterly subscriptions: 18% commission
• Bi-annual subscriptions: 22% commission
• Annual subscriptions: 25% commission

Commissions are calculated on the subscription amount paid by the referred user.

4. Commission Lock Period

All commissions are subject to a 30-day lock period from the date of the referred user's payment. This period is designed to protect against fraud, refunds, and chargebacks. Commissions become payable only after the lock period expires without any issues.

5. Tax Obligations

In accordance with Nigerian tax law (FIRS Withholding Tax Regulations 2024):

• A 5% Withholding Tax (WHT) will be deducted from all commission payments
• CloudKlass will remit this tax to the Federal Inland Revenue Service on your behalf
• You are required to provide a valid Tax Identification Number (TIN) to receive payouts
• You are responsible for any additional tax obligations related to your earnings

6. Payout Terms

• Minimum payout threshold: ₦2,000
• Payouts are processed monthly
• You must provide valid Nigerian bank account details to receive payments
• CloudKlass reserves the right to delay payouts pending verification

7. Prohibited Activities

Partners must not:

• Use spam, unsolicited emails, or misleading advertising
• Make false claims about CloudKlass products or services
• Self-refer or use multiple accounts to generate referrals
• Engage in any fraudulent or deceptive practices
• Use paid advertising that infringes on CloudKlass trademarks
• Violate any applicable laws or regulations

8. Disclosure Requirements

In compliance with FCCPC guidelines, Partners must:

• Clearly disclose their affiliate relationship when promoting CloudKlass
• Use appropriate disclosures such as "#ad" or "I earn a commission"
• Not make any claims that are not approved by CloudKlass

9. Termination

CloudKlass may terminate your participation in the Program at any time for:

• Violation of these terms
• Fraudulent or unethical behavior
• Inactivity for more than 12 months
• At our sole discretion with 30 days notice

Upon termination, unpaid commissions that have passed the lock period will still be paid, subject to our verification.

10. Limitation of Liability

CloudKlass is not liable for any indirect, incidental, or consequential damages arising from your participation in the Program. Our total liability shall not exceed the commissions actually paid to you in the 12 months preceding any claim.

11. Modifications

CloudKlass reserves the right to modify these terms at any time. Continued participation in the Program after changes are made constitutes acceptance of the new terms.

12. Governing Law

This Agreement is governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in courts of relevant jurisdiction within the Federal Republic of Nigeria.
